Terms of Service v2.0

These Terms of Service ("Terms") form a binding legal agreement between you ("you", "user") and LiveTradingAI ("we", "us", "the Service"). They govern your access to and use of:

• Our Telegram bot at @LiveTradingAiBot
• Our private signal channel and any auxiliary Telegram channels
• Our web application at app.livetradingai.com
• Our marketing website at livetradingai.com
• Any related APIs, mobile apps, push notifications, integrations, and content

By accessing, signing in, paying for, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Risk Disclosure, and our Refund Policy. If you do not agree, do not use the Service.

1. Eligibility & restricted regions

To use the Service you must:

• Be at least 18 years old (or the legal age of majority in your jurisdiction, whichever is higher)
• Have full legal capacity to enter into binding contracts
• Not be a resident or citizen of any country, territory, or region subject to comprehensive sanctions enforced by the United Nations, European Union, United Kingdom, or United States Office of Foreign Assets Control (OFAC), including (without limitation): Cuba, Iran, North Korea, Syria, Crimea, the so-called Donetsk and Luhansk People's Republics, and any other restricted region we identify from time to time
• Not be on any government list of prohibited or restricted parties
• Use the Service in compliance with all laws applicable to you, including securities, commodities, derivatives, tax, anti-money-laundering, counter-terrorism-financing, and consumer-protection laws of your country of residence

USA users: The Service is not registered with the U.S. SEC, FINRA, CFTC, or NFA. We are not registered investment advisers, broker-dealers, or commodity trading advisers in the United States. If you are a U.S. resident, you may use the Service only at your own risk and responsibility for any compliance obligations.

You represent and warrant that all information you provide (email, identity, jurisdiction, payment details) is true, accurate, current, and complete. You agree to update us if any of it changes.

2. The Service & tiers

LiveTradingAI is a software platform that delivers algorithmic market analysis, trading signals, AI-assisted analysis, and optional execution helpers for cryptocurrency, gold (XAU/USD), and selected derivatives markets. We currently offer the following tiers (subject to change):

• Free — limited dashboard access, manual analysis tools, plan upgrade options.
• VIP — full feature access including Golden Signals (curated trading desk feed), Brain composite analysis, whale tracker, TradeGPT, Chart Image AI, push notifications, and (optionally) KuCoin auto-execute helpers.

We may modify, add, suspend, or discontinue any feature, tier, or pricing structure at our discretion. We will give material changes reasonable notice (typically 14 days) via Telegram channel, in-app banner, or email when reasonably practicable.

3. Not financial advice

The Service provides information and tools — not advice. Specifically:

• Signals, scores, analyses, AI outputs, and any other content are not recommendations to buy, sell, or hold any asset.
• We do not act as your investment adviser, broker-dealer, fiduciary, financial planner, or fund manager.
• We do not have access to your full financial situation, risk tolerance, or investment goals, and we therefore cannot give you advice tailored to your circumstances.
• Before making any trading decision, you should consult independent qualified professionals (financial adviser, accountant, lawyer) licensed in your jurisdiction.

4. Signal accuracy & performance

Signals are generated by automated algorithms that analyse public market data sources (which may include but are not limited to Binance, Bybit, OKX, Coinbase, KuCoin, Coinglass, Polygon.io, Hyperliquid, Pyth Network, FRED economic data, and others). Important limitations:

• Win rates, profit factors, and statistics shown reflect historical backtests or recent performance only. Future performance may differ materially and adversely.
• Market regimes change; strategies that worked yesterday may underperform tomorrow.
• Network latency, data-provider outages, exchange downtime, or our own system errors may cause signals to be missed, delayed, mispriced, or duplicated.
• Slippage, fees, funding costs, and execution venue all affect real-world results, often unfavourably.
• "Golden Signals" are curated entries shared by an external trading desk. We relay these signals; we do not generate them, control their timing, or guarantee their accuracy.
• We make no warranty as to any specific level of profitability, accuracy, completeness, timeliness, or fitness of any signal.

5. AI services & outputs

Some features (Brain composite, TradeGPT, Chart Image AI, Grok-powered insights, etc.) use large-language models, vision models, or other machine-learning systems supplied by third-party AI providers (such as OpenAI, Anthropic, xAI, Google) and/or our own models. Important:

• AI outputs are generated probabilistically and may be incorrect, incomplete, biased, or hallucinated.
• Do not rely solely on any AI output for any trading or financial decision.
• You are responsible for verifying any factual claim, price, or recommendation produced by AI before acting on it.
• AI providers may log inputs for safety / abuse-monitoring purposes; we do not transmit your private data (KuCoin keys, payment details) to AI providers.

6. Subscriptions, payments & billing

Paid tiers are billed in advance for the period purchased. We accept:

• Cryptocurrency — via CCPayment (USDT, BTC, ETH, and other supported coins). Settlement is on-chain and final once confirmed.
• Ziina — for users in the United Arab Emirates (where supported).
• Other payment methods we may add from time to time.

All payments are processed by independent third-party payment processors. We do not store, access, or transmit your card numbers, bank account details, or wallet private keys. Each processor has its own terms and privacy policy that apply to your use of their service.

Pricing is shown at the point of purchase in U.S. dollars or local currency equivalent. Prices may change; the price you pay is the price displayed at the moment of purchase. We do not offer auto-renewal — your subscription ends on the expiry date shown in your account, and you must manually renew to continue access.

If a payment fails, is reversed, charged back, refunded by the processor, or otherwise becomes unavailable to us, we may immediately suspend or terminate the corresponding subscription without notice.

7. Refunds & chargebacks

Crypto payments are technically irreversible once confirmed on-chain. Our refund terms are detailed in our separate Refund Policy, which forms part of these Terms. In summary:

• 7-day grace — first-time VIP subscribers may request a refund within 7 days of first payment, if they have not received material signal value (as we determine in good faith).
• After 7 days, or for renewals, refunds are at our sole discretion and will only be granted in exceptional circumstances or where required by applicable consumer-protection law.
• We will not refund subscription fees because trades you took based on signals were unprofitable. Trading risk is yours alone.

Chargebacks: Filing a chargeback or payment dispute without first contacting us in good faith is a material breach of these Terms. We will (a) immediately suspend your account, (b) revoke any channel access, and (c) reserve the right to pursue recovery of fees plus any chargeback penalties imposed on us.

8. Your account, security & API keys

• You are responsible for keeping your Telegram account, Google account (if used to sign in), and any password or session token secure.
• You are responsible for all activity that occurs under your account.
• If you connect a KuCoin Futures API key, you must use a key with only Futures Trading and General permissions — never enable Withdraw permission. Doing so unnecessarily increases your risk; we are not liable for losses arising from over-permissive keys.
• We store API keys encrypted at rest. We will not knowingly transmit them outside the necessary execution path. We never display them in full to anyone.
• We will never ask you for your password, seed phrase, full private keys, 2FA backup codes, or KYC documents. Anyone claiming to be us asking for these is a scammer — report immediately to livetradingaihelp@gmail.com.
• Notify us immediately at livetradingaihelp@gmail.com if you suspect unauthorised access to your account.
• One person, one account. Sharing logins, reselling access, or operating multiple accounts to bypass tier limits is a material breach.

9. Live trading integration (VIP)

VIP users may optionally connect a KuCoin Futures API key to view positions, place trades, or use 1-click execute helpers. By enabling any live-trading feature you acknowledge:

• All trades execute under your own KuCoin account using your own margin and your own funds. We never custody, hold, or touch your funds.
• You alone choose whether to enable, disable, or modify any execution helper. We do not place trades autonomously without an enabling action by you.
• You alone are responsible for position sizing, leverage, stop-losses, take-profits, exposure limits, and risk management. We strongly recommend never risking more than 1–2% of your account per trade.
• Slippage, partial fills, KuCoin maintenance windows, leverage limits, isolated/cross margin settings, and exchange-side risk events are outside our control.
• You can disconnect your API key, disable execution helpers, or close your account at any time from Settings.
• Where features auto-execute on signal arrival (where offered, opt-in only), you are placing a standing instruction. You bear full responsibility for outcomes; we are a software service, not a discretionary manager.

10. Third-party services

The Service relies on or links to third-party services that have their own terms and privacy policies. These include (non-exhaustive): Telegram, Google (Sign-in), Binance, KuCoin, Bybit, OKX, Coinbase, Hyperliquid, Coinglass, Polygon.io, FRED economic data, GoldAPI, OpenAI, Anthropic, xAI/Grok, TradingView, Tawk.to (live chat), CCPayment, Ziina, Caddy, Turso, and others we may use over time.

We are not responsible for the availability, accuracy, security, or content of third-party services. Your use of those services is governed by their own terms.

11. Tax responsibility

You are solely responsible for determining your tax obligations and for reporting and paying all applicable taxes (income, capital gains, value-added, transactional, or otherwise) arising from your use of the Service or your trading activity. We do not provide tax advice, do not issue tax documents on your behalf, and do not act as a withholding agent. Consult a tax professional licensed in your jurisdiction.

12. Acceptable use

You will not, directly or indirectly:

• Resell, redistribute, syndicate, scrape, or relay our signals, analyses, or content to third parties without a written commercial license from us
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code or algorithms of the Service
• Probe, scan, test for vulnerabilities of, or breach the security of any part of the Service
• Use the Service to manipulate markets, front-run other users, layer/spoof orders, wash-trade, or engage in any unlawful trading practice
• Use the Service to launder money, finance terrorism, or evade sanctions
• Impersonate any person, misrepresent your affiliation, or use a false identity
• Share, lend, lease, or jointly use your account credentials with anyone else
• Use bots, crawlers, or automated tools to mass-create accounts or generate excessive load on our infrastructure beyond ordinary use
• Bypass, disable, or interfere with security, authentication, or rate-limiting features
• Upload malicious code, viruses, or content that infringes intellectual property or violates law
• Use the Service in any way that could damage, disable, overburden, or impair us or interfere with any other party's use

We may suspend or terminate accounts that violate these rules without notice or refund and may report unlawful conduct to authorities.

13. Intellectual property & license

All software, algorithms, signals, written content, branding ("LiveTradingAI", LTAI logo, "Brain 8.0", "Golden Signals", "Trading Floor"), data compilations, scoring methodologies, and user interfaces are owned by us or our licensors and are protected by intellectual property laws.

Subject to your continued compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service and the content delivered to you, solely for your own personal, non-commercial trading purposes during the period of your active subscription. No other rights are granted.

14. User feedback

If you submit ideas, suggestions, bug reports, or other feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Service or our other products without compensation or attribution to you. You represent that you have the right to grant this license.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM US SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. WE WILL NOT BE LIABLE FOR ANY TRADING LOSSES, MISSED OPPORTUNITIES, OR ECONOMIC DAMAGES YOU INCUR FROM YOUR TRADING ACTIVITY, EVEN IF CAUSED BY SIGNAL ERROR, DATA INACCURACY, NETWORK OUTAGE, EXCHANGE FAILURE, OR ANY OTHER CAUSE.
3. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
4. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY THE LAW APPLICABLE TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless LiveTradingAI, its operators, contractors, affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms or any law; (c) your trading activity or use of any signal; (d) any content you submit; or (e) your infringement of any third-party right.

18. Force majeure

We will not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including (without limitation): acts of God, war, terrorism, riot, civil unrest, governmental action, sanctions, change in law, internet/cloud-provider outage, exchange downtime, blockchain congestion, denial-of-service attack, pandemic, fire, flood, earthquake, or labour dispute.

19. Suspension & termination

By you: You may stop using the Service at any time and may request account deletion via Settings → Privacy → Delete Account, by typing /deleteaccount in the bot, or by messaging support. Deletion removes your personally identifying data per our Privacy Policy.

By us: We may suspend, restrict, or terminate your access at any time, with or without notice, for any reason including: violation of these Terms, payment failure, suspected fraud, sanctions risk, security threat, or where required by law. We will refund any prepaid unused subscription fees on a pro-rated basis only where the suspension is not the result of your breach.

Sections 3, 5, 11–17, 21–24 survive termination.

20. Modifications to Terms

We may revise these Terms from time to time. Material changes will be posted with an updated "Last updated" date and announced via in-app banner, Telegram channel, or email at least 14 days before they take effect for existing users (immediate for new users). Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date.

21. Copyright / IP infringement

If you believe any content on the Service infringes your copyright or other intellectual-property right, please send a notice to livetradingaihelp@gmail.com (or by email if listed in §25) including: (i) identification of the copyrighted work claimed to be infringed, (ii) identification of the allegedly infringing material with sufficient detail for us to locate it, (iii) your contact information, (iv) a statement that you have a good-faith belief the use is not authorised, (v) a statement under penalty of perjury that the information is accurate and you are authorised to act on the right-holder's behalf, and (vi) your physical or electronic signature.

22. Governing law & disputes

These Terms and any dispute arising from them are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles. The courts of the Emirate of Dubai (or, where applicable, the DIFC Courts) have exclusive jurisdiction.

Before initiating any legal action, you agree to attempt good-faith resolution by contacting livetradingaihelp@gmail.com. If we cannot resolve the matter within 30 days, either party may proceed to court.

If you are a consumer in a jurisdiction whose mandatory consumer-protection laws give you rights that cannot be waived (e.g. EU/UK/UAE), nothing in this section overrides those rights.

23. Class-action & jury waiver

To the extent permitted by applicable law, you and we agree that any dispute will be resolved on an individual basis and not as a class, collective, or representative action. Both parties waive any right to a jury trial. Where a jurisdiction's law prohibits these waivers, they do not apply to you.

24. General provisions

• Entire agreement. These Terms (together with the Privacy Policy, Risk Disclosure, and Refund Policy) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
• Severability. If any provision is held invalid or unenforceable, the remainder of these Terms remains in full effect, and the invalid provision will be replaced with a valid one closest to the original intent.
• No waiver. Our failure to enforce any right is not a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
• Notices. We may give notices via the Service, Telegram, or email. You may notify us at livetradingaihelp@gmail.com.
• Independent contractors. No partnership, joint venture, agency, or employment relationship is created by these Terms.
• English language controls. These Terms are in English. If translated, the English version controls.
• Headings. Are for convenience only and do not affect interpretation.
